1. Who we are
Promizio is a cross-promotion matchmaking platform operated by Oh So Fab, a Danish sole proprietorship registered under CVR number 27167667. Our registered address is available upon request. You can reach us at hello@promizio.com.
2. What Promizio is
Promizio provides a software platform that helps businesses discover and connect with complementary, non-competing businesses for the purpose of cross-promotion. We facilitate introductions and provide tools. We are not a party to any agreement, campaign, transaction, or promotion between matched businesses.
3. Acceptance of terms
By creating an account on Promizio, you confirm that you have read, understood, and agree to these Terms of Service. If you do not agree, you must not use the platform. These terms apply to all users, including businesses in the free Starter tier.
4. Eligibility
To use Promizio you must:
- Be at least 18 years of age
- Be acting on behalf of a legitimately registered business
- Have the legal authority to bind the business to these terms
- Not be prohibited from using the platform under applicable law
5. Your account
You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. Notify us immediately at hello@promizio.com if you suspect unauthorised access.
You may not create accounts for others, share your account, or create multiple accounts for the same business.
6. Acceptable use
You agree not to use Promizio to:
- Misrepresent your business, products, services, or audience
- Contact matched businesses for purposes unrelated to cross-promotion
- Spam, harass, or engage in unsolicited communication
- Upload content that is unlawful, offensive, deceptive, or infringing
- Attempt to reverse-engineer, scrape, or exploit the platform
- Use the platform for any illegal purpose
We reserve the right to suspend or terminate any account that violates these rules, at our sole discretion and without prior notice.
7. Matches and campaigns
Promizio suggests potential business matches based on profile data. We do not guarantee the quality, suitability, or success of any match. Any cross-promotion campaign is a voluntary agreement between two independent businesses. Promizio is not responsible for the execution, results, or any disputes arising from such campaigns.
Both businesses in a match are solely responsible for ensuring their campaigns comply with applicable advertising laws, including but not limited to the Danish Marketing Practices Act (markedsføringsloven) and EU consumer protection regulations.
8. Fees and billing
Promizio offers a free Starter tier and paid subscription plans. Paid plans are billed monthly or annually as selected. All prices are exclusive of VAT unless stated otherwise. VAT will be added where required by law.
Subscriptions renew automatically unless cancelled before the renewal date. Refunds are not provided for partial billing periods. You may cancel at any time via your account settings.
We reserve the right to change pricing with 30 days' notice to existing subscribers.
9. Intellectual property
You retain ownership of any content, materials, or data you upload to Promizio. By uploading content, you grant Promizio a limited, non-exclusive, royalty-free licence to store and display that content for the purpose of operating the platform.
The Promizio name, logo, platform design, and all associated software are owned by Oh So Fab and may not be used without prior written consent.
10. Disclaimer of warranties
Promizio is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or that matches will result in successful campaigns or commercial outcomes.
We make no guarantees about the accuracy of business profiles submitted by other users.
11. Limitation of liability
To the fullest extent permitted by applicable law, Oh So Fab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, or loss of business opportunities, arising from your use of Promizio.
Our total liability to you for any claim arising out of or related to these terms shall not exceed the amount you paid to Promizio in the 12 months preceding the claim, or DKK 500, whichever is greater.
12. Third-party services
Promizio uses third-party services to operate, including Supabase (database and authentication), Stripe (payments), and others. Your use of the platform is subject to those providers' terms. We are not liable for any failure, downtime, or data loss caused by third-party services.
13. Privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these terms.
14. Modifications to the service
We reserve the right to modify, suspend, or discontinue any part of the platform at any time. We will endeavour to provide reasonable notice for material changes. Continued use of the platform after changes constitutes acceptance of the updated terms.
15. Governing law
These terms are governed by the laws of Denmark. Any dispute shall be subject to the exclusive jurisdiction of the Danish courts, specifically the Copenhagen City Court (Københavns Byret) as the court of first instance.
